Welcome to Leasee®. These Terms of Use govern your access to and use of the website located at leasee.io, including any related pages, forms, content, communications, and early-access materials made available by Leasee® (the “Site”).

The Site is operated by Leasee, Inc., a Delaware corporation (“Leasee®,” “Leasee,” “we,” “us,” or “our”).

By accessing or using the Site, submitting information through the Site, or requesting early access, you agree to these Terms. If you do not agree, do not use the Site.

1. Purpose of the Site

Leasee® is a technology platform under development for lease-structured commercial real estate transactions, including sale-leasebacks, ground leases, net leases, and related transaction workflows.

The Site is provided for informational, marketing, early-access, and business-development purposes only. The Site does not provide access to a live transaction marketplace unless and until Leasee® separately makes such access available.

2. Eligibility

You must be at least 18 years old to use the Site. If you access or use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. No Professional Advice

The Site is for general informational purposes only.

Leasee® does not provide legal, tax, accounting, investment, securities, brokerage, lending, valuation, appraisal, underwriting, fiduciary, or other professional advice through the Site.

You should consult your own qualified advisors before making any decision or taking any action relating to a commercial real estate transaction, financing, investment, lease, sale, acquisition, or other business matter.

4. No Offer or Solicitation

Nothing on the Site constitutes an offer, solicitation, recommendation, commitment, or agreement to buy, sell, lease, finance, lend against, invest in, broker, underwrite, value, or otherwise participate in any real estate asset, lease, financing, security, investment, or transaction.

Any descriptions of transaction types, platform features, workflows, visuals, dashboards, examples, case studies, or scenarios are illustrative only and may not reflect actual transactions, available opportunities, current functionality, final product design, or future outcomes.

5. No Brokerage, Advisory, Lending, or Fiduciary Relationship

Your use of the Site does not create any broker-client, advisor-client, attorney-client, lender-borrower, fiduciary, agency, partnership, joint venture, employment, or other professional relationship between you and Leasee®.

Unless expressly agreed in a separate written agreement signed by Leasee®, Leasee® does not act as your broker, real estate agent, investment advisor, financial advisor, attorney, lender, appraiser, fiduciary, or agent.

6. Early Access Requests

The Site may allow you to request early access, submit contact information, or provide information about your company, role, transaction interests, or business needs.

Submitting an early-access request does not guarantee access to any Leasee® product, service, demo, pilot, beta release, platform, marketplace, transaction opportunity, or business relationship. Leasee® may accept, reject, delay, prioritize, suspend, condition, or terminate access at its discretion.

By submitting information, you agree that Leasee® may contact you regarding your request, Leasee® updates, product development, launch information, research, onboarding, or related business communications.

7. Information You Submit

You agree that any information you submit through the Site is accurate, complete, current, and not misleading.

You may not submit information that is false, unlawful, confidential without authorization, infringing, defamatory, fraudulent, misleading, or otherwise inappropriate.

Do not submit confidential, proprietary, sensitive, or transaction-specific information unless you have a separate written agreement with Leasee® covering that information.

8. Feedback

If you provide ideas, comments, suggestions, feature requests, or other feedback to Leasee®, you agree that Leasee® may use that feedback for any lawful business purpose without restriction or compensation to you.

You represent that you have the right to provide any feedback or materials you submit.

9. Product Previews and Future Features

The Site may describe or show product concepts, platform previews, mockups, workflows, dashboards, screenshots, roadmap items, or planned features.

These materials are provided for informational purposes only. They may not represent current functionality, final product design, available services, or future releases. Leasee® may modify, delay, discontinue, limit, or never release any product, service, feature, workflow, integration, pricing model, or business line at any time.

10. No Guarantee of Results

Leasee® does not guarantee any transaction outcome, financing outcome, investment return, capital raise, valuation result, buyer match, lender quote, vendor result, closing timeline, liquidity outcome, cost savings, or business result.

Any references to potential benefits, market opportunities, workflows, efficiencies, or transaction outcomes are illustrative only and are not promises, guarantees, or warranties.

11. Third-Party Services and Links

The Site may link to or integrate with third-party websites, forms, email tools, analytics services, CRM systems, scheduling tools, or other services.

Leasee® does not control and is not responsible for third-party websites, tools, services, content, policies, security, or practices. Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

12. Intellectual Property

The Site and its content, including text, graphics, logos, icons, images, designs, software, workflows, platform concepts, product names, trademarks, and other materials, are owned by Leasee® or its licensors and are protected by intellectual property and other laws.

You may not copy, reproduce, modify, distribute, display, publish, license, create derivative works from, sell, scrape, reverse engineer, or otherwise exploit any part of the Site without Leasee’s prior written consent.

“Leasee®” and related names, logos, marks, taglines, and branding are trademarks or service marks of Leasee®. You may not use them without prior written permission.

13. Acceptable Use

You agree not to:

  • violate any applicable law or regulation;

  • submit false, misleading, unlawful, or harmful information;

  • infringe or misappropriate any third-party rights;

  • interfere with the operation, security, or availability of the Site;

  • attempt to gain unauthorized access to any system, account, or data;

  • use bots, scrapers, crawlers, or automated tools without authorization;

  • transmit malware, viruses, or harmful code;

  • impersonate any person or entity;

  • use the Site to develop or support a competing product or service;

  • copy Leasee’s product concepts, workflows, designs, or proprietary materials; or

  • use the Site in any manner that Leasee® determines is harmful, deceptive, unlawful, or inconsistent with these Terms.

14. Privacy

Your use of the Site is also subject to Leasee’s Privacy Policy.

Leasee® may collect, use, and process information as described in its Privacy Policy. Your privacy disclosures should accurately describe the information collected through the Site, including information submitted through forms and information collected through any analytics, hosting, email, CRM, or tracking tools. Companies should honor privacy promises made to users, and privacy statements should match actual practices.

15. Cookies and Analytics

The Site may use cookies, pixels, analytics tools, and similar technologies to operate the Site, understand usage, improve performance, and support communications or marketing.

Where required by law, Leasee® may provide notice, consent mechanisms, or opt-out choices. Your browser or device may also allow you to control certain cookies or tracking technologies.

16. Communications

By submitting your contact information, you consent to receive communications from Leasee® related to your inquiry, early-access request, product updates, launch information, research, onboarding, or other business purposes.

You may unsubscribe from marketing emails where applicable. Leasee® may still send administrative, transactional, or relationship communications where permitted by law.

17. Testimonials and Examples

Any testimonials, endorsements, examples, scenarios, or case studies on the Site are for informational purposes only and may not represent typical outcomes. Endorsements and testimonials should be honest and not misleading.

Leasee® does not guarantee that any user will achieve similar results.

18. Availability and Changes

Leasee® may modify, suspend, discontinue, restrict, or remove all or part of the Site at any time without notice.

Leasee® does not guarantee that the Site will be available, uninterrupted, secure, error-free, or compatible with your systems.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, FORMS, FEATURES, COMMUNICATIONS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

LEASEE® DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASEE®, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, TRANSACTION LOSSES, FINANCING LOSSES, INVESTMENT LOSSES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASEE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Leasee®, its affiliates, directors, officers, employees, contractors, agents, representatives, licensors, service providers, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your access to or use of the Site;

  • your violation of these Terms;

  • your violation of any law or third-party right;

  • information or materials you submit;

  • your negligence, fraud, willful misconduct, or misrepresentation; or

  • any transaction, communication, or relationship involving you and any third party.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Subject to any applicable law, any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of those courts.

23. Changes to These Terms

Leasee® may update these Terms from time to time. The updated Terms will be posted on the Site with a revised “Last Updated” date.

Your continued use of the Site after updated Terms are posted means you accept the updated Terms.

24. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices posted on the Site, constitute the entire agreement between you and Leasee® regarding the Site.

Any separate written agreement signed by Leasee® may supplement or supersede these Terms with respect to the subject matter of that agreement.
